2. Services & Deliverables
Top Choice Production, LLC provides production and post-production services as described in your proposal, statement of work, or signed agreement. Schedules, crew needs, locations, rounds of revision, and final deliverable formats will be specified there. While Top Choice Production, LLC works to meet agreed timelines, dates may be affected by factors outside our reasonable control, including weather, venue access, talent availability, or third-party platform outages affecting delivery or review.
3. Billing Parameters
Clients are subject to the financial terms in their contract or written quote. Deposits, retainers, and milestone invoices are processed by Top Choice Production, LLC according to those terms. Third-party costs (e.g., location fees, licensed music, specialized equipment rentals billed pass-through) are typically invoiced as agreed in advance. Failure to pay may result in pausing work or withholding final deliverables until accounts are current.
4. Intellectual Property
Upon full payment for the applicable scope, the client receives the usage rights for deliverables as defined in the agreement (e.g., specified platforms, territory, and term). Top Choice Production, LLC retains rights in its pre-existing tools, templates, and methods, and may reuse generalized know-how that does not disclose your confidential information. Client-supplied assets remain your property; you warrant you have rights to provide them for the production.
5. Liability Boundaries
To the maximum extent permitted by law, Top Choice Production, LLC is not liable for indirect, incidental, special, or consequential damages arising from the use of our services or deliverables. Our aggregate liability for any claim relating to a project is limited to the fees paid to Top Choice Production, LLC for that project, except where limitation is prohibited by law.
6. Contract Dissolution
Either party may terminate an engagement as set out in the applicable agreement (often including written notice and payment for work completed and non-cancellable costs incurred). Upon termination, Top Choice Production, LLC will cooperate in transferring agreed project files and credentials as contractually required.
